Two quotes land for the same 4,750-cubic-foot covered hopper, five-year term, same delivery window. One is $615 a month. The other is $395. The instinct is to take the $395 and ask what took the other lessor so long. That instinct has cost shippers more money than any other decision in railcar leasing, because the two numbers are not measuring the same thing — one of them is a price for a railcar, and the other is a price for a railcar plus everything it takes to keep a railcar legal and rolling.
What Each Structure Actually Means
A full-service railcar lease bundles the equipment with the work required to keep it in service: routine and running maintenance, AAR interchange compliance, periodic regulatory qualification, shop routing, and in most cases the ad valorem property taxes assessed on the car. You pay one number per car per month and you largely stop thinking about the mechanical side of the fleet.
A net railcar lease conveys use of the car and very little else. Maintenance, inspections, regulatory requalification, property tax filings, registry administration, and every day the car spends sitting at a repair shop instead of earning are yours. The rate is materially lower — sometimes 30 to 40 percent lower on the same car — because the lessor has handed you the part of the business that is hard to price.

Tank cars carry a periodic requalification cycle under 49 CFR 180.509 — interior and exterior visual inspection, thickness testing, service equipment work, and where the specification calls for it, pressure testing. - Damage from your operation. Gates torn off by a front-end loader, a hatch cover backed into, a car overloaded past its stenciled load limit.
- Commodity damage. Corrosion or lining failure caused by loading a product the car was not specified for. Load the wrong thing once and the repair can exceed a year of rent.
- Cleaning. Switching commodities generally means a cleaning bill on your side, plus the empty move to a cleaning facility.

The lower net rate buys you a set of obligations that are easy to underestimate because most of them are administrative rather than mechanical. In practice a net lessee owns six functions:
- Mechanical. Someone has to know when a car is bad-ordered, where to send it, which shop has capacity, and whether the estimate is reasonable. That is either a person on your staff or a fleet manager you pay.
- Regulatory calendar. Qualification and inspection due dates per car, tracked ahead of time, with cars cycled to shops before they come due rather than after.
- Car repair billing. Reviewing what railroads and shops bill against your cars, disputing what is wrong, and paying what is right.

None of these is hard on its own. Collectively they are a job, and the question is not whether you can do it — you can — but whether you do it for less than the rate spread. Repairs: Owner vs Handling-Line Responsibility
One thing neither structure changes is that not every repair on a private car is paid by whoever holds the lease. The AAR Interchange Rules split repairs into two buckets, and the split holds regardless of who your lessor is.
Owner-responsibility items are normal wear — wheels worn to condemning limits, brake shoes, routine component life. The car's owner pays, which on a full-service lease means the lessor and on a net lease effectively means you.
Handling-line responsibility items are damage caused by a railroad while the car was in its possession. The handling carrier pays. These are billed through the industry's car repair billing system administered by Railinc, with a billing repair card generated for the work.
The practical difference between structures is not who is theoretically liable — it is who chases the money. A full-service lessor has a department that reads every repair card, catches items miscoded as owner responsibility when the car was damaged in a carrier's yard, and disputes them. How to Compare the Two Rates Honestly
The only defensible comparison adds a maintenance-and-compliance estimate to the net quote before you look at either number. Do it in this order:
- Start with the net monthly rate. That is your floor, not your cost.
- Add annualized running repairs, divided by 12. Ask the lessor for the car's repair history if it is existing equipment. If it is new, use a planning figure and flag that it rises sharply in the back half of the car's life.
- Add the amortized qualification event. Take the expected cost of the next requalification or program work and spread it across the months until it comes due. On tank cars this line alone often closes most of the spread.
- Add property tax and registry administration. Small dollars, real hours.
- Add the cost of downtime. Days out of service multiplied by what a loaded car earns you, or the cost of the spare you keep to cover it.
- Now compare. If the adjusted net number is not meaningfully below the full-service quote, full-service is buying you certainty for free.

Private cars can earn mileage allowance from railroads under certain tariffs. Who keeps it is a lease term, not a law. Full-service lessors usually retain it because it is already priced into your rate; net lessees more often keep it. Return conditions
The return clause is the single most underestimated line in a railcar lease. It sets the condition the car must be in when you hand it back: cleaned to a stated standard, free of your product, lining intact, qualification dates with a stated minimum remaining, modifications reversed. Can the lessor swap equipment on you? Does the lease carry a minimum utilization or mileage commitment with a penalty attached? Is there a fleet-flex provision that lets you drop cars if volume falls? Structure matters here: net lessors rarely give flexibility because the deal is a financing, while full-service lessors sometimes will, at a price.
Which Structure Fits Which Shipper
Full-service fits shippers running fewer than roughly 25 to 50 cars, anyone without a mechanical function on staff, tank car programs where the qualification cycle is the dominant cost, first-time car lessees, and any operation where budget predictability is worth more than the last few points of cost. This is most shippers, and it is not a failure of sophistication — it is a correct reading of where their overhead is best spent.
Net fits fleets large enough to support a real fleet-management function, operations that already run shop relationships and repair-billing review, long stable programs where the term risk is acceptable, and shippers who want ownership economics without the balance sheet.
